The Blade Medic

To protect brand integrity, maintain consistent market positioning, and ensure fair trading across our authorised retail network, the following terms apply to all approved stockists of The Blade Medic products.

These terms form part of any wholesale or trade agreement entered into with The Blade Medic.

1. Territory

1.1 Products may be sold within the United Kingdom, including BFPO addresses and overseas territories, without restriction.

1.2 Retailers may sell internationally, including into the European Union and other foreign markets, provided they comply fully with all applicable local laws, import requirements, product regulations, labelling standards, tax obligations and marketplace rules within the destination country.

1.3 The retailer / importer assumes full responsibility for ensuring compliance with all foreign market requirements, including customs, VAT, import duties, consumer protection laws, packaging regulations and marketplace compliance obligations.

1.4 The Blade Medic accepts no liability for penalties, seizure of goods, listing removals, customs delays, regulatory action or losses arising from a retailer’s failure to comply with international sales requirements.

2. Online & Marketplace Sales

2.1 Retailers may sell products via their own branded websites, physical retail locations, and approved online marketplaces in accordance with this policy.

2.2 Sales through third-party marketplaces, including but not limited to eBay, Etsy, Walmart Marketplace and similar platforms, are permitted provided the retailer complies with all applicable branding, packaging and compliance requirements. Sale via Amazon is strictly subject to prior written authorisation.

2.3 Retailers intending to sell via third-party marketplace platforms must notify The Blade Medic and provide:

  • Marketplace/store name

  • Seller account details

  • Relevant storefront or listing URLs

  • Intended sales territories

2.4 All international marketplace listings must utilise the approved export packaging supplied by The Blade Medic, including authorised barcodes, translated information and any required market-specific packaging formats.

2.5 Retailers must not create substitute packaging, modify barcodes, alter compliance markings, or use self-produced labels for international marketplace sales without prior written approval.

2.6 Unauthorised drop shipping arrangements, resale through unidentified third-party seller accounts, or diversion of stock into unapproved distribution channels remains strictly prohibited.

2.7 Marketplace listings must comply with approved imagery, product descriptions, trademark usage and brand presentation guidelines.

2.8 Failure to comply with marketplace, branding or export-packaging requirements may result in suspension or termination of supply without notice.

3. Branding & Representation

Retailers must maintain brand presentation standards at all times.

Retailers must not:

  • Alter product packaging

  • Modify logos, trade marks or branding elements

  • Repackage, relabel or tamper with products

  • Make unapproved claims regarding performance, safety, certification or endorsement

Official imagery, product descriptions and marketing assets are available upon request and must be used without modification unless agreed in writing.

The Blade Medic reserves the right to request removal or amendment of any marketing material that does not align with brand guidelines.

For international sales and marketplace distribution, only officially approved export packaging, barcode systems and compliance labelling supplied by The Blade Medic may be used. Retailers must not substitute, recreate or modify packaging or compliance identifiers intended for foreign markets.

4. Pricing Policy

4.1 All products are supplied with a Recommended Retail Price (RRP).

4.2 Retailers reserve the right to sell products at whatever price they choose privately

4.3 “Advertised price” includes website listings, social media promotions, email campaigns, paid advertising and marketplace listings.

4.4 Excessive discounting or promotional activity that damages brand positioning or undercuts the retail network may result in withdrawal of supply.

4.5 The Blade Medic reserves the right to review retailer pricing activity to ensure fair and consistent market representation.

5. Product Integrity & Storage

5.1 Products must be stored appropriately in accordance with any supplied handling guidance.

5.2 Products must not be altered, repackaged, modified or relabelled in any way.

5.3 Damaged goods must not be offered for sale.

5.4 Retailers are responsible for ensuring that customers receive products in original, undamaged condition.

6. Wholesale Purchasing Terms

  • Opening order minimum: £150 or 36 units (whichever is greater)

  • Reorder minimum: 20 Units (Mixed SKU permitted)

  • Free UK mainland delivery on orders over £150

  • Orders below the free delivery threshold may incur carriage charges

The Blade Medic reserves the right to amend wholesale pricing with reasonable notice.

7. Returns & Claims

7.1 Damaged or incorrect goods must be reported within 7 days of receipt, supported by photographic evidence where applicable.

7.2 Claims made outside this period may not be accepted.

7.3 Unsold stock returns are not accepted without prior written agreement.

7.4 Approved returns must be sent in original condition and packaging.

7.5 Unless faulty, return postage costs are the responsibility of the customer.

7.6 Refunds will be processed within 14 days of receiving the returned goods.

8. Breach of Policy

Failure to comply with this Trade & Sales Policy may result in:

  • Written warning

  • Suspension of supply

  • Termination of trade account

  • Withdrawal of authorised retailer status

Repeated or serious breaches may result in immediate termination without notice.

9. Liability

9.1 Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any matter for which it would be unlawful to exclude liability.

9.2 Our liability for any other loss shall not exceed the total purchase price of the goods in question.

9.3 We are not liable for indirect or consequential losses, including loss of profits or business interruption.

10. Orders

10.1 All orders are subject to availability and confirmation of the order price.

10.2 When you place an order, you will receive an acknowledgement email. This does not constitute acceptance of your order.

10.3 A contract between us is formed only when we dispatch the goods to you.

10.4 We reserve the right to refuse or cancel any order at our discretion, including in cases of pricing errors or suspected fraud.

11. Pricing and Payment

11.1 All prices are shown in GBP (£) and include VAT where applicable.

11.2 Delivery charges will be displayed at checkout or included within the invoice provided prior to confirmation of the order.

11.3 Payment is due within 30 days from the date of receipt of the goods unless otherwise agreed in writing. Payment may be made via bank transfer or other approved invoicing methods.

11.4 Title and ownership of all goods supplied shall remain with us until full payment has been received and cleared in full. Until such payment is made, we reserve the right to recover the goods.

11.5 If payment is not received within the 30-day payment period, we reserve the right to charge interest on the outstanding balance on a daily basis from the due date until payment is made in full. Interest will accrue at a rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, or at the maximum rate permitted by law.

11.6 We reserve the right to amend prices at any time, though changes will not affect orders already confirmed.

12. Delivery

12.1 We aim to dispatch orders within 7 working days.

12.2 Delivery times are estimates and not guaranteed.

12.3 Risk in the goods passes to you upon delivery.

12.4 Ownership of goods remains with us until full payment has been received.

13. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to events beyond our reasonable control, including natural disasters, strikes, pandemics, supply chain disruptions, or government restrictions.

14. Governing Law

This Trade & Sales Policy is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

15. Compliance with Law

15.1 Nothing in this Trade & Sales Policy is intended to restrict, limit or operate in a manner contrary to applicable UK law, including but not limited to the Competition Act 1998 and other relevant competition, consumer or commercial legislation.

15.2 Retailers remain free to determine their own resale prices, subject to compliance with applicable competition law. Any pricing guidance, including Recommended Retail Prices (RRP) or Minimum Advertised Price (MAP) policies, is intended solely to protect brand positioning and does not constitute resale price maintenance.

15.3 If any provision of this Policy is found by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed severed from the remainder of the Policy, and the remaining provisions shall continue in full force and effect.

15.4 Both parties agree to operate in good faith and in compliance with all applicable laws and regulations when performing their obligations under this Policy.

Acceptance of Terms

By placing an order with The Blade Medic, opening a trade account, participating in trading, purchasing wholesale products, or otherwise engaging our services, you confirm that you have read, understood and agree to be bound by this Trade & Sales Policy.

These terms apply to all transactions unless otherwise agreed in writing by The Blade Medic.

If you do not agree to these terms, you must not place orders, engage our services, or represent yourself as an authorised retailer of The Blade Medic products.

Continued trading following notification of updates to this Policy shall constitute acceptance of the revised terms.
